Related Service for Mergers and Acquisitions of State-owned Enterprises by Foreign Investors

(1) Service items of the property right transactions. The Shanghai United Property Right Exchange has newly opened comprehensive service windows for merger and acquisition by foreign investors, providing service work channels for the parties to the merger and acquisition cases. The service includes: regularly compiling lists of projects in which foreign investment is encouraged, gather intensions of foreign investors for merger and acquisition to be published to the outside via the information network of the Property Right Exchange and related channels like the Foreign Investment Promotion Center of the city, etc.; organizing activities such as project introduction, acting as an intermediary, talks, etc. to make the transaction successful; examining the qualification, commercial reputation, operation, financial standing, etc. of the foreign investors who have the intension for merger and acquisition; arranging for intermediate agents to provide the parties to the merger and acquisition with related service such as market research, information consulting, assets evaluation, acting as an agent for the entrusted exchange, etc.; assisting the parties to the merger and acquisition in handling the related procedures such as those for submitting the cases for examination and approval and for variation of registration with the industrial and commercial authorities.

(2) Related procedures for merger and acquisition of state-owned enterprises by foreign investors.Foreign investors who intend to merge and acquire state-owned enterprises in this city should conduct assets evaluation, property right transaction and registration of the variation of property rights in accordance with relevant provisions; and the detailed procedures are as follows: application, assets evaluation, signing contract under a power of attorney, registration of the assignment and variation of the property right.

(3) Relevant regulations on property right transactions of Sino-foreign equity and cooperative joint ventures. In case Chinese investors intend to assign the state-owned shares in Sino-foreign equity and cooperative joint ventures to foreign investors in accordance with the law, or foreign investors intend to assign its shares in Sino-foreign equity and cooperative joint ventures to Chinese investors, proper transactions should be done in the Shanghai United Property Right Exchange, and property assignment procedures handled. The transaction procedures are those for examination and approval of the property assignment, assets evaluation and transaction in the Exchange Office.
