What content shall be included in a Sino-foreign joint-venture contract?

A Sino-foreign joint-venture contract shall mainly include:

(4) The production and/or business purpose, scope, and scale;
(5) The total investment and the registered capital;
(6) Liabilities of the parties of joint-venture;
(7) Technical Transfer;
(8) Marketing of products;
(9) The board of directors.
(10) The operating management organization;
(11) Purchasing of equipment;
(12) Preparation and construction;
(13) Labor management;
(14) Taxation, financial affairs, and audit;
(15) The term of time for the joint-venture;
(16) Asset disposal after the joint-venture contract expires;
(17) Insurance affairs;
(18) Amendment, alteration, and dissolution of the contract;
(19) Liability for breach of agreement;
(20) Force majeure;
(21) Applicable laws;
(22) Settlement of disputes;
(23) Language used;
(24) The contract’s entry into force and others.
